Purchase of a Digital Download Product with a description, title, and/or category of “Instrumental” or “Instrumentals” (herein stated as “DDPI”) requires Purchaser to read and agree to the following:

• Purchaser is required to check a virtual checkbox upon purchasing a DDPI, verifying agreement between Purchaser (herein stated as “Licensee”) and Joshua Warr (herein stated as “Licensor”) to Licensor’s Terms of Service.

• Licensee is required to submit personal information upon checkout of https://www.joshiepuw.com (and all domain subsidiaries) if prompted incase of breachment of Licensor’s Terms of Services.

• By completing checkout of a DDPI; Licensee agrees to a non-exclusive licence and licence agreement (stated in 1b*) between Licensee and Licensor.

All licences are not for resale, and if found to have resold; licence(s) will be terminated immediately.

Payment. Rights granted to Licensee and the Licensor’s Terms of Service are not valid until the one-time payment has been paid at completion of checkout.

Delivery of a DDPI.

• Licensor agrees to deliver the DDPI as high-quality .MP3 and .WAV files inside of a .RAR (uncompressed) format after the one-time payment has been made.

• Licensor shall use commercially reasonable efforts to deliver the file(s) of a DDPI to Licensee immediately after one-time payment of the DDPI is made. Licensee will receive the file(s) of a DDPI via email, to the email address Licensee provided to Licensor.

Master Use (DDPI). The Licensor hereby grants to Licensee a non-exclusive licence (this “Licence”) to record vocal synchronisation of a DDPI partly or in its entirety and substantially in its original form (“Master Recording”).

Master Rights (DDPI). The Licensor hereby grants to Licensee a non-exclusive licence to claim the Master Recording as their own with the condition of 0% Publishing Royalties, 0% of Synchronisation Royalties, 0% of Mechanical Royalties, and 0% of sales being given directly to the Licensor (after recording, marketing and producing costs, if applicable).

Streaming Rights (DDPI). The Licensor hereby grants to Licensee a non-exclusive licence to stream the Master Recording both audibly and visually an unlimited amount of times, with an unlimited amount of different or the same projects, and different or the same project titles; with the condition of 0% Publishing Royalties, 0% of Synchronisation Royalties, and 0% Mechanical Royalties being given directly to the Licensor (after recording, marketing and producing costs, if applicable).

Mechanical Rights (DDPI). The Licensor hereby grants to Licensee a non-exclusive licence to use the Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disk, digital downloads, other miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, the “Recordings”, and individually, a “Recordings”) worldwide for an unlimited number of copies of such Recordings or any combination of such Recordings, condition upon the payment to the Licensor, receipt of which is confirmed.

Licence(s) allows an unlimited number of monetized audio streams to sites like (Spotify, RDIO, Rhapsody, Apple Music, Tidal, etc) with the condition of 0% Publishing Royalties, 0% Synchronisation Royalties, and 0% Mechanical Royalties being given directly to the Licensor (after recording, marketing and producing costs, if applicable). Licence is eligible for monetization on YouTube, and other visual streaming sites; with a condition of 0% of Publishing Royalties, 0% of Synchronisation Royalties, and 0% of Mechanical Royalties being given directly to the Licensor (after recording, marketing and producing costs, if applicable).

Performance Rights (DDPI). The Licensor hereby grants to Licensee a non-exclusive licence to use the Master Recording in an unlimited number of nonprofit and for-profit performances, shows or concerts. 

Synchronisation Rights (DDPI). The Licensor hereby grants the use of the Master Recording in any music videos, edits, or syncs for non-profit or for-profit usage, at an unlimited number, with the condition of 0% Publishing Royalties, 0% of Synchronisation Royalties, and 0% of Mechanical Royalties being given directly to the Licensor (after recording, marketing and producing costs, if applicable).

Broadcasting Rights (DDPI). The Licensor hereby grants to Licensee broadcasting rights at an unlimited number of stations and streams; with the condition of 0% Publishing Royalties, 0% of Synchronisation Royalties, and 0% of Mechanical Royalties being given directly to the Licensor (after recording, marketing and producing costs, if applicable).

Credit. Licensee shall acknowledge the original authorship of any Digital Download Product Instrumental appropriately and reasonably in all media and performance formats under the name “JOSHIEPUW” in writing where possible and vocally otherwise.

Non-Infringement. The Licensor hereby represents and warrants that they shall perform their responsibilities in a manner that does not infringe upon or misappropriate any copyright or trademark rights of any third party.

Should either party (Licensor or Licensee) be found to have violated a third party’s copyright or other property right in the creation of these works, the full liability for the violation shall fall upon the party who perpetrated the violation. The other party shall not be held liable.
